Who do i go to for advice - merger

helllo guys and girls,
myself and a friend are going to merge company's and we want to do it fairly but how to do this?!
i have alot of larger company customers than he does but seems he may make more profit than me!
how do we merge the two companies under a new name with existing customers and then make sure its all fair.
maybe someone has done this any help much appreciated.
we are also going to be vat registered and LTD

I second that ... forget how well you get on, use both your accountants to come to an agreement, if you have in house accountants then agree to bring in a independent body to do the assessment that way it's all fair and no fall out down the road.
