One says its shifty, the other says its fine - who is correct?!
Replacing the sub mains is difficult as would need to open up the cable runs in the other two flats potentially v. disruptive - we would prefer not to do this if the other way is safe and above board.

Without knowing exactly how each intends to do the job it is very hard to say who is right.

Both replacing the cables and extending them could be done safely or could be done dangerously, it all depends on the method of doing it, competence of the person doing the work, the site conditions and the available budget.
 
Jointed and extended many submains, if this other contractor can do it as opposed to the one who thinks it is "shifty" whatever that means let them do it and them use them for the rest of the work and ditch Mr Shifty.
 
In an ideal world you would replace the distribution circuit....But sometimes everything isn't ideal so you have to be practical about things. Extending the distribution circuit can be done, just has to be done in compliance. It's very hard to gage over a forum if what your second electrician suggests is legit but he's the one who has seen the job.
